1. Who we are
NotePlus is a service operated by Qynte Pty Ltd ("Qynte", "we", "us", "our"), a company registered in Australia. References to "NotePlus", "the Service", or "the Platform" in these terms mean the websites, applications, and APIs we provide under the NotePlus brand at noteplus.io and related domains.
2. Acceptance
By creating an account, logging in, or otherwise using NotePlus, you agree to be bound by these Terms of Use, our Privacy Policy, and any other policy referenced here. If you don't agree, please don't use the Service.
3. Eligibility
You must be at least 13 years old to create an account on your own. If you're between 13 and 18 (or the equivalent age of majority in your jurisdiction), you must have parental or guardian consent. We may verify age and consent at any time, and may suspend accounts that don't meet these requirements.
Parent / guardian accounts are read-only views of a linked student's progress. Parents do not gain access to the student's notes, messages, or any private content.
4. Your account
You're responsible for keeping your password safe and for everything that happens under your account. Don't share login credentials. If you suspect unauthorised access, contact us immediately at contact@noteplus.io.
5. Acceptable use
Use NotePlus for your own learning or, if you're an educator, your students' learning. You agree not to:
- Upload material you don't have rights to use, or that infringes someone's intellectual property.
- Use the Service to generate or distribute content that's abusive, harassing, defamatory, hateful, sexually explicit, or illegal.
- Attempt to break, probe, or reverse-engineer the Service, or use it to compromise others' security.
- Scrape, mass-download, or resell content from NotePlus, including AI-generated content, without our written permission.
- Submit other people's personal data without their consent.
- Resell or sublicense access to the Service.
6. Your content
You own the notes, files, and other material you upload ("Your Content"). By uploading it, you grant Qynte a worldwide, royalty-free licence to host, store, process, transmit, and display it solely for the purpose of operating the Service for you (for example: extracting text, generating quizzes and flashcards, indexing for search, backing up).
You also grant us a licence to use de-identified, aggregated usage data to improve the Service. We never sell your content or your personal data to third parties.
7. AI-generated content
NotePlus produces quizzes, flashcards, summaries, notes, study plans, and tutor responses with the help of third-party AI models. AI output may be inaccurate, incomplete, or out of date — please review it before relying on it for exams or anything important. We don't guarantee correctness of AI output.
You may use AI output generated for your own account for your personal study and may share it with classmates or guardians through features we provide. You may not resell AI output or pass it off as your own original academic work where doing so would breach your institution's academic-integrity rules.
8. Plans, billing, and trials
The Service offers a free tier and one or more paid plans. Prices, included quotas, and trial terms are shown on the Pricing page and may change for new sign-ups; existing subscribers are notified of material changes before they take effect.
Paid subscriptions renew automatically until cancelled. You can cancel any time from the in-app Billing section — cancellation takes effect at the end of the current billing period. Trial periods convert to paid plans automatically unless cancelled before the trial ends. Refunds are governed by the Refund Policy and Australian Consumer Law where applicable.
9. Third-party services
NotePlus uses third-party providers for hosting, email, payments (Stripe), AI inference, and analytics. We choose providers with appropriate security and privacy practices; details are listed in the Privacy Policy.
10. Service availability
We work hard to keep NotePlus running, but the Service is provided "as is" and "as available". We don't promise uptime, error-free operation, or that AI features will always be accurate. To the maximum extent permitted by law, Qynte excludes all implied warranties.
11. Limitation of liability
To the maximum extent permitted by law, Qynte's total liability to you for any claim arising out of or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or A$100, whichever is greater. We're not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, lost profits, lost revenue, or lost study time.
Nothing in these terms limits rights that you have under Australian Consumer Law that cannot be excluded.
12. Termination
You can close your account at any time from the in-app settings. We can suspend or terminate accounts that breach these terms, are inactive for a long period, or where required by law. On termination we may delete your content after a reasonable grace period; you can request an export beforehand.
13. Changes to these terms
We may update these terms from time to time. For material changes we'll let you know by email or in-app notice at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new terms.
14. Governing law
These terms are governed by the laws of Victoria, Australia. You and Qynte submit to the non-exclusive jurisdiction of the courts in Victoria for any dispute arising from these terms or the Service.
